Pen Bay Healthcare's incorporators have voted to merge with the state's largest health care organization.
The panel, made of up community representatives, voted 143-6 on Tuesday in favor of becoming a subsidiary of MaineHealth, the parent organization of Maine Medical Center in Portland and numerous other Maine hospitals, the Herald Gazette reported. The boards of trustees of both Pen Bay Healthcare and MaineHealth voted earlier for the merger.
Per the agreement, MaineHealth would give Rockport-based Pen Bay $3 million for electronic medical upgrades, an additional $25,000-$50,000 for communications upgrades and one seat on its board of trustees. Pen Bay would pay $675,000 in annual dues to MaineHealth.
Now the state must sign off on the merger before it's sent to the Federal Trade Commission for approval. Pen Bay and MaineHealth are seeking state approval first in an attempt to avoid the fate of MaineHealth's failed merger attempt with Goodall Hospital in Sanford, the paper reported. The FTC filed multiple requests for more information on that proposal, causing the organizations to break off the agreement in December, citing "burdensome federal regulatory requirements."
