Central Maine Healthcare, whose facilities include Central Maine Medical Center in Lewiston and Bridgton and Rumford hospitals, has agreed to be acquired by a California-based nonprofit for an undisclosed amount.

The acquirer is Prime Healthcare Foundation, of Ontario, Calif., which is affiliated with Prime Healthcare and operates 44 hospitals and more than 300 outpatient locations in 14 states.

Under the agreement, Prime Healthcare Foundation is set to become the sole owner of all Central Maine Healthcare services and facilities, which will retain their current names and local leadership.

As part of the agreement, the foundation has pledged to invest $150 million in the facilities over the next five years and to continue to expand services based on community needs.

"We look forward to welcoming the CMH staff, physicians, patients and communities to the Prime family," said Dr. Kavitha Bhatia, president and chair of the Prime Healthcare Foundation. "Through our dedication to health equity, clinical quality  and patient-centered, physician-led care, we are deeply committed to ensuring the CMH legacy continues for generations to come.”

Until the deal closes at the end of this year, Central Maine Healthcare facilities will continue to operate independently under a consulting agreement between the two organizations, the buyer said in Wednesday’s announcement.

In a separate release, Central Maine Health Care said that Prime Healthcare Foundation will offer “substantially all” Central Maine Health Care team members positions at comparable wages and benefits, and they will honor provider and physician contracts.

“Prime Healthcare Foundation has made a tremendous commitment to investing in our people, our facilities and equipment, and to improving access to quality healthcare throughout central Maine,” said Steve Littleson, CEO of Central Maine Healthcare since October 2021.

“As part of Prime Healthcare Foundation, we will now have the capability and the resources to attract and retain top talent, improve quality and access to care, and address unmet healthcare needs across Central Maine,” he added.

With 250 licensed acute care beds, Central Maine Medical Center in Lewiston is ranked No. 3 among Maine hospitals in the 2025 Mainebiz Book of Lists. The facility employs more than 2,500 employees.

Besides hospitals in Lewiston, Bridgton and Rumford, the merger agreement includes Rumford Community Home, Bolster Heights, Maine College of Health Professions, CMH Cancer Care Center, and more than 40 physician practices.
